Moms Without A Mom Individual Coaching Agreement

Welcome to your Moms Without A Mom Individual Coaching Package with Melissa Reilly, LLC.

This is your contract. Please read it carefully before signing because you are making an important commitment to Melissa Reilly, LLC, Moms Without A Mom.

THE BASICS

1. You are securing one of a limited number of places Melissa Reilly, LLC offers for individual coaching. 
2. The price for the one-month package is $597 (US Dollars) or at the discounted price indicated on the order form, payable upfront or in three equal monthly installments.
3. The price for the six-month package is $1497 (US Dollars) or at the discounted price indicated on the order form, payable upfront or in six equal monthly installments.
4. We make it easy to understand what it is like to do business with Melissa Reilly, Psy.D., Moms Without A Mom.  Please check out the Company Policies HERE before signing this Agreement. Those policies are part of this Agreement even though they are not spelled out in this document.
5. This Agreement, the Company Policies and Disclaimers, and the Credit Card Authorization are the entire agreement between us. These written documents supersede our prior discussions, emails, online, or voice messages. By signing, you agree that there is no information that you deem materially important that is not incorporated into this Agreement. 

THIS IS WHAT YOUR INDIVIDUAL COACHING PROGRAM INCLUDES

One-Month Package:  

1. Two 75-minute Individual Coaching sessions held on zoom.  
2. Unlimited VIP Voxer support which allows audio and text support.
3. Moms Without A Mom Coaching Workbook.

Three-Month Package:  

1. Two 75-minute Individual Coaching sessions held on zoom.  
2. Unlimited VIP Voxer support which allows audio and text support.
3. Moms Without A Mom Coaching Workbook.

SCHEDULING POLICIES

1. To schedule coaching sessions, click HERE to schedule these sessions as soon as possible to provide the most flexibility.  If the times available will not work in your schedule, send a voxer message to arrange a different time.  There is no guarantee that our availability will match yours. 
2. If you do not attend on the scheduled day and times, your session is forfeited.
3. If you must cancel or reschedule, you must do so at least 3 days in advance, or your session will be forfeited.  
4. If we cancel, no-show, or must reschedule, the process and policies will be repeated.

THESE ARE *NOT* INCLUDED

1. Psychological Services or Psychotherapy. 
2. Ownership of Written Materials. As a participant, you will have one license to view written materials provided by Melissa Reilly, LLC., Moms Without A Mom. You do not have ownership of this information, which is protected by federal copyright laws. You may not copy, re-engineer, distribute, or otherwise provide access to this information to any other person, for free or paid, without express written consent of Melissa Reilly, LLC. Moms Without A Mom, which it may withhold for any reason, and purchase of a license (prices start at $5000.00). 
3. Trademark Usage. Melissa Reilly, LLC., Moms Without A Mom protects its names! You are not receiving permission to use trade and service marks even if not listed here. 
4. Results Not Guaranteed. You are receiving a space in the program, support and guidance, but not guaranteed results from participating in the program. 
5. Confidentiality. Melissa Reilly, LLC., Moms Without A Mom cannot guarantee the confidentiality of information that is shared in a group setting or social media.  Do not share any confidential and proprietary information which may harm your business or personal interests if repeated, copied, or otherwise transmitted and/or implemented by a third party. 

CLIENT RESPONSIBILITIES AND COACHING SERVICES

By purchasing a coaching program from Melissa Reilly,LLC you agree to these terms, in addition, any client agreement and/or terms of purchase which apply to your transaction:

1. Coaching sessions conducted by Melissa Reilly, LLC. are not a substitute for psychotherapy or medical care by a licensed professional, and coaching sessions are not therapy sessions. Please let your Coach know if you do not understand the difference between therapy and coaching. 
2. Melissa Reilly, LLC, will not diagnose or treat any mental health disorders as part of this Program. 
3. If Melissa Reilly, LLC. recognizes the need for medical or mental healthcare, this program will be terminated. For termination for this reason only, refunds will be processed on a pro-rated basis, or a credit for future services with Melissa Reilly, LLC. may be issued, upon mutual agreement by Client and Coach. 
4. Due to the nature of coaching and personal development, no specific outcome or result of the Program is guaranteed. 

 CONFIDENTIALITY MATTERS

The ethical standards of therapists, and in some instances, state laws, require therapists to report to responsible persons when clients indicate any of the following:

1. Actual or suspected abuse or neglect of a child; 
2. Actual or suspected abuse of an elderly person; 
3. Threat of self-harm; 
4. Threat of harm to others. 

Other limits to your privacy include:

1. If Melissa Reilly, LLC receives a court order or subpoena requiring turnover of information related to the coaching; and
2. Requests by biological parents to review a minor’s records unless their parental rights have been terminated by the Court or the minor is emancipated.

CLIENT RESPONSIBILITIES

1. Client has read the following and agrees: 
2. Coaching sessions shall not be used in place of diagnosis, treatment, therapy, substance abuse treatment, psychotherapy, psychoanalysis, or other mental health treatments. 
3. Coaching sessions will not substitute for, and Client agrees to seek out independent professional guidance for, legal, medical, financial, business, or family matters. 
4. Client is in the best position to evaluate his or her personal circumstances, including legal, medical, financial, business, and family matters, and takes sole responsibility for the decisions or actions (or inaction) regarding them. For that reason, any claims arising from this agreement for losses, costs, damages of any nature whatsoever or claims expenses from any cause or causes, including attorneys’ fees and costs, shall be limited to the amount paid hereunder.  
5. Melissa Reilly, Psy.D. is a licensed psychologist, but she will not be serving in that capacity in coaching sessions. Therefore, she will not diagnose nor treat mental health disorders in coaching sessions. 
6. Client is fully responsible for his or her own physical, mental, and emotional wellbeing during all sessions, including choices and decisions made during and after the sessions. 
7. Coaching is a relationship in which the coach facilitates the creation and development of personal, professional, or business goals, and to develop a plan for achieving these goals. Client acknowledges that implementation is solely his or her responsibility. 

g. Client acknowledges that he or she has discussed the advisability of coaching with any current medical or mental health professionals from whom he or she is receiving treatment.

Additional Legal Terms

1. There is a NO REFUNDS policy. 

By signing this Agreement, you acknowledge that no one has represented to you that refunds are available. Even if you cannot participate for any reason, you will continue to be billed according to the schedule in Section 1 of this Agreement through the end of the Term. Melissa Reilly, LLC., Moms Without A Mom considers this policy a material inducement to entering into this Agreement, and would not have done so unless this No Refunds policy were included. If you initiate a chargeback, Melissa Reilly, LLC., may issue an additional $250 fee to you. 

2. Disclaimer of Warranties. 

Participant understands the Group Program is offered on an “as-is, where-is” basis, without any implied or express warranty as to its performance or to the results that may be obtained by using the program. This limited warranty is the only express warranty made to you and is provided in lieu of any other express warranties (if any) created by any documentation.

3. If we get sued due to something you did:

You agree to indemnify, defend and hold harmless Melissa Reilly, LLC., Moms Without A Mom, its affiliates, successors and assigns from and against any and all claims, damages, losses, liabilities, lawsuits, costs and expenses (including attorneys’ fees at all tribunal levels) arising out of or related to any activity, work, or other thing done or permitted to be done by you where such liability arises from negligence on your part or the violation of this Agreement.  This includes any liability arising from breach of confidentiality by any party. 

5. Damages are limited under this Agreement.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MELISSA REILLY, LLC WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF BUSINESS, LOSS OF OPPORTUNITY COST, LOSS OF PROFITS AND THE LIKE), WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. DAMAGES, INCLUDING ATTORNEY’S FEES AND COSTS, ARE LIMITED TO THE AMOUNT PAID UNDER THIS AGREEMENT. 

6. No Professional Advice.

Melissa Reilly, LLC does not engage in the rendering of medical, legal, accounting, financial, or other professional services. You acknowledge that you will make your own decisions before acting on any information gained from this program. It is further understood that before you utilize any techniques suggested by this program, you should consult licensed professionals as applicable.

7. No Guarantee of Results; Risk of Loss. 

Results from the group program are greatly dependent upon individual decisions, abilities, and other factors outside Company’s control, and the Company makes no guarantees or warranties that information provided to you through the Program will provide results.   

8. Melissa Reilly, LLC., Moms Without A Mom can end your participation in the program. 

Melissa Reilly, LLC may determine, in its sole discretion and without requiring disclosure of the reason, that the relationship under this Agreement must terminate. In this circumstance, Company will provide a refund to you. 

9. Pennsylvania law governs this Agreement and it will be enforced by either party in Pennsylvania. 

This Agreement will be governed by Pennsylvania law, without regard to its conflicts of law principles. I understand and agree that I submit to the personal jurisdiction and venue of this state and agree that any legal proceeding commenced shall take place in Lancaster county, Pennsylvania.

10. No Assignment; No oral waivers or modifications.

This Agreement may not be assigned to any other party. Its requirements may not be waived or modified except in writing signed by the Melissa Reilly, LLC. 

11. Electronic Signatures and Other Documents. 

You agree that your electronic signature is valid and binding evidence of your assent to the terms of this Agreement. You agree to sign additional documents which may be necessary to complete the material purpose of this Agreement, including without limitation, payment authorizations. 

12. No relationship.

The parties hereto expressly understand and agree that they are not employers or employees, principals, and agents, or partners or co-venturers in the performance of each and every part of this Agreement, and they remain solely responsible for all of their respective employees and agents.
